Job Description*
Job Title: Assistant General Counsel
Reports To: General Counsel
Division: D211 - Legal
Location: New York
Effective Date: October 2011
Purpose of Position: To provide legal advice and counsel to the Institute, under the supervision of the General Counsel, on a variety of legal matters, including but not limited to: grants and contracts, employment, real estate, international transactions including the establishment and maintenance of offices abroad and compliance with applicable U.S. and foreign laws related to international transactions. Work is carried out independently.
Essential Duties and Responsibilities include the following. IIE may add, change, or remove essential and other duties at any time.
Responsible for complying with applicable contract and sponsor requirements and following all IIE policies and procedures

Review, draft and negotiate a wide variety of grants and contracts, including hands-on drafting of cross-border programmatic agreements, coordination with the Grants & Contracts Division and maintenance and development of contract templates and legal forms.
Provide advice and counsel with respect to the establishment and maintenance of domestic and international offices including requirements for doing business, corporate compliance, tax and review and negotiation of contracts, agreements and policies.
Provide advice and counsel with respect to compliance with domestic and foreign laws with respect to the work of the Institute, including U.S. Trade Sanctions.
Provide legal advice, guidance and counsel on domestic and international employment matters including drafting employment agreements, policies and handbooks.
Performs other duties and functions as assigned.
Education/Experience:
J.D. degree with a strong academic background. Excellent legal education and at least three years of hands-on legal experience in relevant areas including contracts, general corporate law, international transactions and employment with at least 7 years of professional experience overall.
Membership in good standing of the New York State Bar.
International experience preferred
Experience in one or more of the following areas is preferred: drafting and negotiating corporate contracts, cross-border transactions, tax, government contracting, and employment law. Experience and familiarity with not-for-profit organizations is a plus.

To perform this job successfully, an individual should have knowledge Microsoft Office 2010; internet software and database software.
